Equity Account Manager (2005785)

Responsible for all equity-based accounting issues, including stock option accounting (SFAS 123R), earnings per share (EPS) and diluted EPS calculations. Maintains the outstanding sharecount data, and confirms share transactions with the third party stock transfer agent reports. Manages our third party stock option administrator to ensure complete and accurate updating of data, and timely and accurate reports required for external reporting purposes. Oversees 401K audit process from a finance standpoint, and prepares 401K financial statements and assists with the filing of Form 11-K. Assists in special projects as assigned by the Director of Accounting, and prepares certain reports and analysis for senior finance management for both one-off and recurring purposes. Acts as the primary security administrator for our online banking tool. Records the intercompany entries and prepares the financial statements for our DISCO subsidiary in Virginia. Records the entries for our executive deferred compensation plan/rabbi trust, and manages the relationship with the third party administrator.

Job Description:

Manages the accounting for stock-based compensation in accordance with SFAS 123R
Manages the relationship with our third party stock option plan administrator, including ensuring timely and accurate reporting from the system to enable closing our books and releasing our financial statements on time
Provides the assumptions used in Black-Scholes calculations to the third party administrator, and validates the fair value calculated by them in the system
Maintains SOX documentation and performs self-testing for the stock options transaction cycle
Ensures the timely and accurate accounting and reporting for our ESPP plan
Prepares SFAS 123R disclosure and provides to the Financial Reporting Mgr.

Maintains the Company?s sharecount and equity records and computes basic and diluted Earnings Per Share in accordance with SFAS 128:
Works with the outside stock transfer agent to timely update our sharecount for all share activity, and reconcile issues and outstanding shares to the agent records
Records all entries to the corporate ledger regarding the equity accounts, including stock issuances, amortization of deferred comp, ESPP & Restricted stock expenses.
Calculates basic and diluted shares outstanding using complex SFAS 128 methodology Performs US business financial reporting functions as follows:
Responsible for the preparation of 401K financial statements, overseeing financial audit relationship for 401K plan, and assist in the filing of related Form 11-K.
Prepares information reporting to the US Census Bureau requests, and other governmental information requests to ensure timely and accurate compliance
Prepares financial statements for our bi-annual DISCO subsidiary board meetings. Prepares and records the monthly and quarterly journal entries required to properly state the DISCO books and records
Conducts special studies and analyses, and prepares special reports as requested by the Director of Accounting Processes stock option exercises and restricted stock activity as follows: Report exercises to payroll department to update employee?s payroll records
Reconcile options outstanding monthly
Prepare monthly journal entries to record activity

Issue shares via DWAC system Performs the accounting for the Company?s Deferred Compensation plan including:

Managing the third party administrator for the plan and ensuring the timely receipt of accurate and complete plan journal entries from the provider
Monitors the plan from a funding standpoint, to minimize costs of cancelled insurance policies for participant payouts
Records all necessary journal entries to the general ledger on a monthly basis to ensure GAAP compliance Primary security administrator of our online banking tool for segregation of duties purposes:
Enters new users and responsibilities into the system for approval by other security admins
Ensures the timely deletion/inactivation of users who are terminating or assuming new job responsibilities
Administers the SecurID tokens used for certain access to the system
Coordinates with the bank contacts to resolve issues relating to the system. Works on complex issues where analysis of situations or data requires an in-depth knowledge of the company and accounting rules. Participates in corporate development of methods, techniques and evaluation criteria for projects, programs, and people.

Required Skills:

Technical and comprehensive knowledge of all accounting functional areas. Knowledge of GAAP and SEC reporting requirements. Skilled in math applications. PCs, financial spreadsheet and accounting software. Excellent people management skills, time management, communications, decision making, presentation, human relations, and organizational skills.
