POSITION RESPONSIBILITIES

The members of the Structured Transactions Group (“STG”) work with Fannie Mae’s Lender Partners, Wall Street Investment Banks, Regional Dealers and Customer Account Managers (“Customers”) to develop and issue structured and pass-through (i.e. MBS) securities aimed at meeting specific investor needs. The members of the STG talk with these customers on a daily basis, negotiate and price REMIC, SMBS, Grantor Trust and MBS transactions and print transaction-specific disclosure documents. As part of our overall mission, we support the Portfolio in both purchasing and re-securitizing mortgage products, use our structuring capabilities to create credit enhancement for single family and multifamily portfolios. This allows the Single Family and Multifamily Business Departments to expand their markets, negotiate transaction specifics, ensure full disclosure of the structure, class characteristics and risks of each transaction by working with internal and external legal counsel, reverse engineer each deal structure and tie out with dealer and accountants, and generate fee income for Fannie Mae and help achieve Fannie Mae’s affordable housing goals.

 

The Senior Transaction Manager will be an integral part in the success of the group.  Specifically s/he will be responsible for:

 

 

1.  Negotiating terms of proposed structured and MBS transactions including pricing and timing of transaction as well as servicing, reporting, delivery, guaranty, and other deal specifics. 

 

2.  Reviewing and commenting on Fannie Mae single-family and multifamily prospectuses and supplements including Fannie Mae “Wrap” Transactions.  Work closely with Fannie Mae Counsel, Dealer and Dealer's counsel to verify that terms of securities are accurately described and that all risks associated with the securities are adequately disclosed.  Alert the dealers and management to any significant structural problems. Assist Operations area in settling the new REMIC issues each month.  Ensure that prospectuses are printed on time so that prospective REMIC investors can make prudent investment decisions.

 

3.Contacting dealers regularly to convey Fannie Mae's current fee structure and priorities for transactions.  Discuss the dealer’s current position for pricing new deals, as well as their outlook on the REMIC and bond markets.  Negotiate fees and terms for the REMIC transactions with the dealers.

 

4. Supervising the REMIC settlement process by coordinating with various dealers, the Securities Back Office and Fannie Mae’s outside accountants.  Troubleshoot settlement problems as they arise.

 

5. Assisting in the development and implementation of policies and procedures. 

 

6. Keeping management informed of issues affecting the Structured Transaction department, including research in the secondary mortgage and asset backed markets.



QUALIFICATIONS

 PROFESSIONAL QUALIFICATIONS

 The candidate should have 4 to 7 years work experience in structured transactions/mortgage finance and/or related financial markets.B.A., B.S. in Finance or Accounting or equivalent work experience in lieu of degree.  Strong oral & written communication skills, problem solving ability and analytical skills are essential.
