TRANSACTION ADVISORY SERVICES MANAGER

Professional will be focused on supporting financial and strategic acquirers as they evaluate, structure and integrate mergers and acquisitions. Professional may periodically consult with clients selling their businesses on transaction structure and strategy. Professional will also be expected to participate in proposal and practice development activities focused on developing relationships with financial and strategic buyers in the Southeast United States marketplace. Professional will periodically assist other Transaction Advisory Services Practices throughout the firm. Out of town travel of up to 50% may be required depending on client needs.

JOB RESPONSIBILITIES:

-Comment on offering materials,
-Assess and prepare financial models and projections,
-Plan and execute financial due diligence,
-Coordinate tax, benefits and IT due diligence services,
-Draft due diligence reports,
-Deliver presentations on due diligence findings,
-Comment on transaction documents,
-Analyze post closing adjustments,
-Coordinate services associated with operational integration,
-Develop proposals for transaction advisory services,
-Develop a network of financial and strategic buyers in the Southeast United States marketplace
-Practice and comply with firm standards,
-Establish successful working relationships with leadership of other service lines within the firm

Job Experience:
QUALIFICATIONS AND REQUIREMENTS:

-CPA required
-BS or masters degree in accounting
-5 to 8 years audit and/or transaction support experience at a nationally recognized public accounting firm
-Prior experience with mergers and acquisitions in the manufacturing, distribution and/or service industries (either through audit or transaction support experiences)
-General understanding of transaction structures for tax and financial purposes (i.e. asset vs. stock deals, purchase accounting, earn out provisions, working capital adjustments, etc.)
-Experience leading engagement teams in a managerial capacity (supervising multiple teams of 2 or more professionals)
-Flexibility, self motivation and enthusiasm to work on tight deadlines and in an unstructured environment
-Excellent technical writing skills
-Excellent verbal communication skills
-Attention to detail
-A desire to network in the professional community
-Ability to identify opportunities for cross selling transaction and non-transaction related service offerings
