Description Ernst & Young's Transaction Advisory Services (TAS) practice offers companies professional transaction experience. We help clients determine the right deal to do, and then assist them in doing the deal right. Within TAS, Transaction Tax services encompass the strategic development and execution of a transaction structure from a tax perspective, including executing tax due diligence, challenging assumptions about future tax performance, and assisting with the tax aspect of purchase agreements, post-closing, and other transaction tax matters.

We currently have a career opportunity for a Manager in our Mergers and Acquisitions (M&A) team.

Responsibilities

The primary role of a Manager is to serve as a member of multiple client engagement teams, participating in due diligence engagements related to the acquisitions by private equity investor groups and strategic corporate buyers. Managers assist in the preparation of new business proposals; identifying and contacting potential buyers, acquisition candidates and/or financing sources; developing sophisticated financial models to analyze financial/ operational performance results of potential buyers or targets and develop pricing/ valuation analyses for the preparation of offering documents in the structuring of transactions.

Additionally, Managers assist in the following activities:

Identifying and analyzing tax risks and opportunities while advising both strategic and private equity buyers and sellers on alternative tax strategies for acquisition, disposition, and restructuring of businesses.

Assisting in reviewing and analyzing merger agreements and providing opinion letters.

Structuring transactions for both strategic and financial owners, as well as corporate transactions related to acquisition and divestitures.

Effectively managing engagement teams that may consist of attorneys, CFOs, corporate directors, accountants and tax professionals.

Establishing relationships with portfolio companies to show planning opportunities.

Identifying and capitalizing on opportunities for providing tax planning and solutions to clients and targets.

Qualifications

To qualify, candidates must have:

Minimum of 5 years of relevant tax experience. Previous M&A tax due diligence, deal structuring and post acquisition planning experience is preferred.

CPA or JD (LLM preferred).

Strong communication, presentation and selling skills.

Strong writing, research and analytic skills.

Ability to work in a dynamic, time sensitive environment with varying deliverables and changing requirements.
