Job Responsibilities:

?  Training as necessary to learn business

?  Assist the President in all of his day-to-day operations

?  Work on assigned special projects

?  Assist in implementation of business plan

?  Assist in plan to become a publicly traded company on NASDAQ

?  Attend (mostly as an observer) a substantial number of meetings the President attends in order to develop extensive knowledge of ongoing special projects

?  Training to be provided as necessary

?  Work on and keep updated a very basic company web site

?  Manage communications (written substantially by the President) to investors and assist in our public relations activities

?  Work with agreements and communications being negotiated: small amount of translation work: English-to-Chinese and Chinese-to-English

?  Assist in development of Power Point presentations

?  Some minimal assistance to our Chief Financial Officer

 

Skills:

?  Batchelor?s degree required

?  Self starter

?  Knowledge of word; power point; excel; some basic website development knowledge;

?  Good communications skills;

?  **Some Chinese language proficiency needed

 

Other Terms:

?  Hours:  9AM to 5PM: but flexible with start and end

?  Vacation: 4 weeks

?  Annual Salary: $40,000 to $50,000

?  Bonus: Target of up to 5 % of salary and 5% of salary in stock options (or other similar incentive plan).

The Company

We are a New York limited liability company that is engaged in the business of oil and gas exploration, development, production and trading in Asia and the Pacific Rim countries.  We currently are a development stage company with operations having recently commenced in the People?s Republic of China. The Company is actively building a portfolio of energy ventures in Asia which provide high value and early returns which will maximize shareholder value.

The Company acts as a holding company for new energy ventures that will be developed and invested in either as wholly owned subsidiaries, or as partnerships that will leverage its risk with other investors or partners. This strategy will serve to maximize returns, lower exposure and spread risk appropriately among several ventures.

 

The Company?s management team previously acted in this development and screening role at Texaco and will lean on its global contacts in Asia to have a continuous flow of high potential energy projects which it can effectively and efficiently screen and high-grade appropriately. We will attempt to extract above-average capital returns by:

 

l Focusing on profitable investments that play to our expertise

l Leveraging the existing  asset base and capabilities to expand value

l Actively managing the establishment of such investments and on-going operations limiting capital exposure as economically justified

l Enlisting external resources and talent as necessary to operate/manage investments 

l Exiting when appropriate to maximize investment value

 

The first venture developed by the Company is to drill several wells in currently discovered fields in Inner Mongolia, the People?s Republic of China.  These operations are underway, and the Company expects that production will commence in the fall of 2006, and bring positive revenues and cash flow to the Company in 2007. These ventures will also add potential reserves to the Company, which can translate into the building of a significant value base

 

The Company successfully concluded a first round of fundraising pursuant to a Private Placement offering which was dated March 17, 2006 and closed on June 30, 2006. Approximately $4.5 million was raised pursuant to that offering.

 

The Company has now developed several additional investment and development opportunities in China and is in the process of securing exclusive rights on several of them. These opportunities are described in greater detail in this offering and have the potential to add significant value and reserves to the Company.

 

Theses new opportunities will require a significant increase in the need for capital; and, accordingly, the Company is developing a plan to raise more capital from the private equity sector and then enter into a ?reverse merger? whereby the Company will become a publicly listed company on the NASDAQ. This is expected to be accomplished before the end of calendar year 2006.

Our management team collectively has over 75 years of global expertise in the fields of petroleum engineering, geology, petroleum field development and production, petroleum operations, international business development, and finance.  Our Chief Executive Officer and several members of the management team have held management and executive positions with Texaco Inc. and have managed successful and profitable projects in China and elsewhere in Asia.  We believe they are uniquely qualified to identify, acquire and exploit energy projects throughout Asia and the Pacific Rim countries.

We forecast that China and countries in the Pacific Rim will continue to grow rapidly throughout the first half of the 21st century and cause profound changes in worldwide energy consumption and prices.  Our analysis indicates that the recent uptrend in worldwide demand for energy will continue with the growth of the Indian and Chinese economies.  At the same time, we expect to see the worldwide growth in the supply of oil, gas and alternative energy resources to be moderate during the same period of time.  As a result, we expect prices for oil and natural gas to remain high over the long term creating an exceptional opportunity for companies possessing oil and gas exploration expertise, particularly in Asia and the Pacific Rim countries.  We believe we are uniquely positioned to take advantage of what we believe will be explosive growth in worldwide energy demand by exploiting opportunities in Asia, including China and the Pacific Rim countries.
