Legal/Marketing Associate

Job Description:

 

We are seeking a highly motivated and experienced professional with legal and marketing experience to join our team.  This individual will provide legal assistance to staff and act as liaison between outside counsel, organizations and our Fund members.  This individual will also work proactively with the legal team and other members of the company?s finance, marketing and administrative team to constantly improve the company?s legal processes in order to efficiently process information that will assist in formation and daily operation of  Funds and Company.

 

Principal Duties and Responsibilities:

 

?  Facilitate and coordinate the creation of  Fund documents including maintaining and updating Private Placement Memorandum and other documents.

 

?  Coordinate with fund managers and leaders of  funds to ensure completion of closing documents for funds and investments.

 

?  Assists fund managers in organization of capital calls and member meetings.

 

?  Maintain Corporate Minute Books for  Funds and Company 

?  Obtain and complete requisite applications and corporate consents for  funds and Company.

 

?  Assists Company in the preparation of UCC filings and handles UCC filing search requests.

 

?  Works with outside counsel on trademark and patent issues.

 

?  Assists outside counsel in the preparation of documentation for amendments, withdrawls, mergers and dissolutions of  Funds.

 

?  Work with outside consultant on marketing materials and press releases.

 

?  Work with Administrative Assistant to organize and maintain Fund files and documents.

 

?  Work with Administative Assistant and management on Marketing and PR, conferences and educational seminars.

 

Required Experience and Skills:

 

?  2 years experience as corporate paralegal required

?  Ability to organize and prioritize and manage numerous tasks.

?  Demonstrated proficiency in organizational, analytical, conceptual, problem solving, and presentation skills.

?  Exceptional interpersonal skills and verbal and written communication skills.

?  Must be self-motivated to work on projects both independently and as part of a team.
