Paralegal - Contracts

Under general supervision of an attorney, coordinates activities necessary to ensure the fulfillment of License agreements worldwide.  Negotiates, interprets and administers contracts for all company products and services worldwide. Responsible for legal correspondence, contract preparation, contract reviews, and document finalization. Confidentiality and discretion are essential for this position.

 

Responsible for issuing software keys for Vanguard?s corporate software asset worldwide.

 

Responsible for tracking corporate governance activities for all Vanguard companies and ensuring all requirements are met.

 

Responsible for administrative duties for the General Counsel, including creating file folders, maintaining legal and corporate files, making copies of contracts for Finance, handling incoming mail, general organization.

 ESSENTIAL DUTIES AND RESPONSIBILITIES

 

?  Responsible for the activities of the contracts administration department, ensuring that the company?s interests are protected and corporate objectives are met.

?  Negotiates license agreements with customers. Coordinates with Sales Management.

?  Maintains contract files and databases.

?  Completes state and local government vendor registrations and filings.

?  Assist in responding to Request For Quote (RFQs).

?  Works with Accounting for billing of sales invoices, annual maintenance fees and upgrades.

?  Creative negotiator with ability to insure varying degrees of risk are dealt with appropriately.

?  Special projects as assigned.
