Executive/Equity Compensation Manager

Job Description: GENERAL FUNCTION:
Responsible for executive compensation design and administration of Fifth Third Bank's equity compensation plans.


ESSENTIAL DUTIES & RESPONSIBILITIES:


I. Manage the Variable Compensation Plan (annual management incentive plan)
A. Lead the design process
B. Develop communication materials
C. Oversee the administration of the monthly accrual as well as the annual award recommendation process


II. Manage the long-term incentive program (LTI)
A. Lead the design process
B. Develop communication materials
C. Oversee the annual award recommendation process and ensure delivery of approved equity awards
D. Review and approve officer appointment grant list before entered into system
E. Establish processing policy and update as necessary
F. Review options/SARs presented for exercise and restricted stock releases, and approve for processing
G. Respond to inquiries regarding policy or the potential tax impacts
H. Establish policy to gather information for potential disqualifying dispositions and update as necessary
1. Review and design surveys and letter annually and recommend changes as necessary
2. Establish timeline with Payroll to provide W-2 information annually


III. Participate in Board Compensation Committee preparation
A. Work with Compensation Director to prepare materials for Compensation Committee meetings
B. Conduct executive compensation analyses
C. Participate in development of executive compensation recommendations


IV. Reporting and Analysis
A. Issue monthly equity compensation reports
B. Manage reconciliation of equity compensation in system with Accounting and Computershare.
C. Develop compensation-related material for proxy statement
D. Prepare footnote in Annual Report
E. Provide NQ and Disqualifying Disposition deduction summary to Tax Compliance & Reporting quarterly
F. Participate in due diligence for M&A opportunities


V. Employee education
A. Develop material and delivery methods to ensure effective communication to employees about their executive compensation opportunities
B. Overall responsibility for Equity Compensation intranet information, including management of MSO.com


VI. Provides daily supervision to department employees
A. Manage hiring, performance ratings and salary recommendations for staff
B. Allocate and review work, provide training, work with staff to set and achieve objectives, and guide and advise staff


SUPERVISORY RESPONSIBILITIES:
Responsible for providing employees timely, candid and constructive performance feedback; developing employees to their fullest potential and provide challenging opportunities that enhance employee career growth; developing the appropriate talent pool to ensure adequate bench strength and succession planning; recognizing and rewarding employees for accomplishments.
