Investor Relations Manager

This position reports to the CFO and supports the ongoing, day-to-day relationships with Wall Street analysts, institutional investors, portfolio managers, and manages relationships with retail brokers and shareholders.  In this position, you will represent the company to the retail investment community as a key financial and general business spokesperson with the role of broadly communicating the strategy and financial results of the company to the investment community.

 

The position will involve partnering with key executive staff to communicate the First Charter business strategy to the financial community and manage all related regulatory reports.  Additionally, the incumbent will partner with the CFO, Finance, Legal, Marketing, and key business partners to write and distribute the company?s monthly, quarterly, and annual financial disclosures to the press and investor community, including the annual report, 10-K, proxy statement and other regulatory reports.  Coordinates quarterly earnings release conference calls.  Responsible for SEC Compliance duties associated with the administration of Section 16 of the Securities Exchange Act.  Partners with legal counsel to complete Section 16 reporting requirements including Forms 3, 4, and 5.

 

Effectively communicates key market and competitive information, including Wall Street opinion and research, to internal parties. Identifies potential investors for First Charter and develops outreach and communication plans to help them learn more about the company. Analyzes, interprets and communicates First Charter?s financial results in a consistent and thorough manner, while also analyzing trends in First Charter?s institutional and retail shareholder base.

 

Responsibilities also include maintaining First Charter?s stock-based compensation database.  Coordinates the exercise process for internal equity transaction requests by working with brokers and transfer agent on the trades.  Responsible for associated journal entries and the recording of grants, expirations and cancellations.  Maintains and updates a number of databases to reflect changes in employee/director stock ownership information.  Maintains and administers the restricted stock program to include requesting, distributing vested certificates, and collecting the appropriate taxes associated with the restricted stock. 

 

Performs a number of other technical and administrative duties including a number of reconciliations, computing the company?s outstanding stock for EPS, dividend entries, coordinating trust trades, maintaining inventory of medallion stamps, and report writing.  Serves as correspondent to the investor and shareholder community handling a number of calls on a daily basis.  Serve as an expert within the finance team on product/technical issues for one or more business groups.

 Requirements

Candidates must possess a strong financial background to include a minimum of three years experience in investor relations or combination of investor relations and other financial disciplines.  BS or MBA degree in Finance or Accounting is required.  Advanced proficiency in Microsoft Word, Excel and PowerPoint is necessary.  Must possess demonstrated aptitude and background for understanding stock-based compensation plans, FAS 123R and Section 16 filings.  Candidates must demonstrate excellent written and oral communication skills with the ability to build positive working relationships and credibility with the executive staff and external financial community.  Experience with statistical and financial analysis and preparation of financial statements is required.  Must exhibit effective time management skills and the ability to prioritize rapidly changing priorities.
