Assistant In-House General Counsel

Job Purpose:
Protects company interests by providing counsel on corporate governance and formalities, corporate law and structure, legal rights, remedies, obligations, statutes and other legal matters. 

Duties:
* Achieves legal objectives by gathering pertinent information; identifying and evaluating options; advising on best course of action.

* Providing legal counsel regarding transactional matters related to corporation and subsidiaries; negotiating, drafting and reviewing contracts and advising senior management.

 

* Provides explanations of legal concepts and actions; devising protections to shield corporations from potential liability.

* Provides corporate policy direction by providing advice on employment law matters and protection of intellectual property; developing legal agreements such as non-compete, trade secret protection;


* Resolves disputes between company and other entities, retaining external counsel as needed; representing corporation in negotiations with accounts and regulators; managing/overseeing litigation conducted by outside firms.

* Maintains quality service by establishing and enforcing organization standards.

* Maintains professional and technical knowledge by attending educational workshops; reviewing professional publications; establishing personal networks; benchmarking state-of-the-art practices; participating in professional societies.

* Facilitates business entity change and growth by representing corporations in mergers and acquisitions, buy-outs; spin-offs, re-capitalizations, re-incorporations; structuring financing techniques; securing lending in acquisitions; conducting due diligence activities related to contemplated financing.

Skills/Qualifications:
