In-house counsel is to serve as the lead lawyer representing Warehousing Credit in the Residential Finance Group (RFG) of GMAC-RFC.  Warehousing Credit?s principal businesses involves the provision of warehousing credit facilities related to all types of mortgage loans, other real estate and similar mortgage-related assets, early purchase facilities, servicing-secured term loans, residual financing and working capital financing.  This business involves relationships with mortgage bankers and other financial institutions, consumers, sellers, borrowers, mortgage servicers, underwriters, investors, attorneys and a variety of service providers.

 

Essential Accountabilities

? Loan documents for credit facilities, including warehousing credit facilities, early purchase facilities, servicing-secured term loans, residual financing and working capital facilities.

? Equity investments, subordinated debt and other strategic alliances.

? Provide research and legal advice to clients on issues related to the financing of mortgages and mortgage-related assets (including existing and new product types) and related credit facilities, early purchase facilities, equity investments and other strategic alliances and other Warehousing Credit businesses and initiatives.

? Coordinate legal advice for Warehousing Credit from other RCG lawyers (including the Institutional Channel, the Correspondent Channel, Portfolio Management, litigation, consumer regulation, securitization and information technology) and outside counsel.

? Provide legal assistance with respect to the enforcement of client duties and obligations, including workouts of credit facilities and repurchase obligations under early purchase agreements.

 

Requirements:
Juris Doctor from accredited law school.
At least 10 years of experience, including significant law firm experience.
Focus on complex commercial transactions and/or asset-based financings and providing forward-looking legal advice to business.
Basic understanding of the warehousing credit, residential mortgage sale and acquisition and/or securitization business; substantial prior experience with one or all of those businesses preferred.
Capability to handle multiple matters contemporaneously from clients in various geographical locations and ability to prioritize them effectively within required time frames.
Excellent leadership and client relationship skills, congenial personality and ability to gain the trust and confidence of a wide variety of individuals throughout the organization, foster teamwork and drive for results within a complex organization.
Excellent listening skills.
Excellent oral and written communication skills.
Excellent research and analytical skills.
Attention to detail within the context of supporting the primary objective.
Basic understanding and appreciation of the capabilities of office computer software including word processing, presentation and spreadsheet software.
