Description Summary

Provide legal advice on a broad range of issues relating to the formation, administration and performance of U.S. Government contracts and subcontracts.  This attorney will primarily provide counsel to the Procurement organization which has a $1.1 billion buy today.

 

Bell?s business has grown dramatically over the last several years and is expected to continue to rapidly increase. To facilitate the growth, Bell?s General Counsel has decided to add a U.S. Government contracts attorney to support the Supply Chain organization?s Procurement function.

 

Bell has a small legal department which requires its lawyers to be extremely proficient in all aspects of their areas of expertise. The lawyers enjoy substantial autonomy in managing their respective areas of responsibility. Consequently, the company typically attracts senior lawyers that have extensive practical application experience.

 

Requirements:JD degreeAdmission to a state Bar or D.C. BarFive to ten years prior legal experience working with US Government contracts.Five to ten years experience drafting and negotiating government subcontracts and commercial contracts. Experience should include performance issues such as terminations, subcontractor claims, and issues pertaining to cost allowability and defective pricing.Working knowledge of the FARS/DFARS, Truth in Negotiations act, Cost Accounting standards, and the UCC.

 

Description:Extensive experience in procurement procedures and Government compliance. Activities include a strong understanding of Competition in Contracting Act, Sole Source Justification requirements, and knowledge of technical data rights in Government subcontracts.Familiarity with FMS/FMF transactions is helpful.Coordinate with Contracts Department to ensure appropriate flow downs are contained in purchase orders.Advises whether legal entitlement exists with respect to supplier claims, and determines the enforceability of contract terms and conditions, statement of work specifications, etc.  Negotiates settlement agreements related to supplier claims or disputes.Review procurement procedures to ensure compliance with Government regulations, applicable laws and company policy.Reviews exceptions to terms and conditions and assists Buyer in subcontract negotiations with domestic and international suppliers.Draft contracts for commercial purchases and Government subcontracts.Provides legal advice to Information Technology department and draft and negotiates license agreements and other technology service agreements.Advises Procurement on antitrust issues, contract disputes, and other legal issues relating to Procurement.Represent BHTI in all matters related to procurement of military and commercial goods and services.Ability to interface well with USG customers, internal customers, and Supply Chain Management Staff.

 

Desired ExperienceKnowledge of USG Commercial Contracts including FAR Part 12 (deals with commercial items in Government contracts).Knowledge of USG FAR Part 31.Military or US Government work experience.
