Asst. Gen. Counsel-Securities

Attorney to manage the company?s securities law policies and programs and provide legal support for the Company?s 34 Act reporting, disclosure, equity compensation plans and related activities.? Substantive areas of responsibility include insider trading policies and training programs, company-wide disclosure policies, 1934 Act filings, Sarbanes-Oxley certification and compliance, executive compensation and employee equity programs, and general NYSE and SEC matters.? Individual will be expected to work directly with business partners in the company?s investor relations, human resources and finance and accounting groups to advise on, implement and manage policies, programs and processes in these areas.? Individual will be expected to perform these functions on a proactive basis with responsibilities to improve and enhance existing methods and approaches.

Required Skills:
Required: JD; 6-8 years experience in regulatory securities law and equity compensation matters.? Candidate must have mid-to-large firm private practice experience.? Candidate must also have demonstrated abilities to work closely and proactively with business partners, develop and implement processes in large organizations, and work independently.

Preferred:? Experience at the Securities Exchange Commission and/or in corporate in-house counsel department
