General Overview:
This attorney will assist with managing and coordinating the research agreements function within the Legal Dept. The position is key to supporting research department objectives through effective legal and transactional services.



Responsibilities Include:
-Drafting and negotiating a variety of research and other contracts; such as confidential disclosure agreements, material transfer agreements, consulting agreements, service agreements, manufacturing and simple (e.g., database) license agreements. This position does not involve handling clinical study agreements nor doing business development deals or licensing, although it could develop into the latter in the future. (60%)
-Developing research contract templates and strategies addressing the needs to 1) protect Elan's intellectual property; 2) support time sensitive research initiatives in view of corporate objectives, and 3) manage the levels of legal exposure to Elan from research transactions. (10%)
-Providing legal advice and counsel on issues relating to various contracts and assisting contracts paralegals with same. (15%)
-Assisting in development of our contracts database and a system for monitoring research agreements (e.g., renewals prior to expiration). (10%)
-Providing education and training to research and business development personnel on contract issues. (5%)

Minimum Education Requirements:
An undergraduate degree and JD from respected, fully accredited educational institutions.

Minimum Previous Experience:
A minimum of 4 years and a maximum of 9 years of experience handling research and other contracts common in the biopharmaceutical industry. Research contracts experience is mandatory (as opposed to clinical agreements, securities, financing or other transactional work).

Knowledge, Skills, and Abilities:
- Familiarity with legal issues relating to protection of proprietary information and other intellectual property.
- An ability to be decisive and proactive.
- Very strong oral and written communication skills, including a strong command of the English language.
- Very strong negotiation and contract drafting skills with careful attention to detail.
- Self-motivated with strong interpersonal skills and client service focus.
- Strong analytical skills to enable proactive evaluation of potential contractual matters before they become disputed issues.
- The ability to operate comfortably in an environment that is informal, demanding and innovative. Must be sensitive to the cultural needs of an entrepreneurial, science-based organization.
- Flexibility to thrive in a dynamic, growing organization.
