Contract Negotiator

ESSENTIAL JOB FUNCTIONS • Drafts, negotiates, and manages various strategic, complex, non-standard agreements, in a timely manner.
? Prepares and negotiates standard agreements, as required.
? Determines the appropriate legal and business language and drafts legal documents that accurately capture the transaction?s terms and minimizes legal risk to the company.
? Reviews and analyzes documents in order to determine contractual obligations.
? Resolves contract disputes.
? Serves in an advisory role to product management, as appropriate.
? Ensures that contract provisions can be implemented and that contracts are capable of being administered after execution.
? Analyzes Sales opportunities in order to formulate the appropriate contract structure and negotiation strategies.
? Determines the proper approval levels for all functional areas, such as approvals for pricing, revenue recognition, credit, and product-line issues.
? Communicates and interprets the terms of contracts to appropriate parties, including Sales, Finance and Administration, Marketing, and executive management.
? Recommends improvements in policies and processes for the Contracts Department.
? Reviews and approves executed contracts so that the company can book the revenue.
? Mentors Associate Contract Negotiators and Contract Administrators

 

MINIMUM QUALIFICATIONS
Education:
BA/BS (or equivalent) in Business or a related discipline

Experience  
Minimum of 4 years experience in negotiating complex agreements, including software license and/or network and/or services agreements.

Desirable

Juris Doctor; previous experience in a software and /or e-business environment
