Contracts Manager - 13114

Moody?s KMV seeks a qualified Contracts Manager to work out of its downtown San Francisco office.  The company, a division of Moody?s Corporation (NYSE: MCO), is the world?s leading provider of quantitative credit analysis tools to lenders, investors, and corporations. Moody?s KMV products and services are based upon a sophisticated application of modern financial theory and statistical analysis and help clients enhance the economic returns in their businesses.  The Contracts Manager will support our in-house legal department and client services organization on international and domestic licensing agreements and forms, negotiation of terms and conditions, and pre- and post-contract administration.  This position presents an opportunity to provide business-critical professional services in an important segment of the company. You will have significant exposure to the entire global Moody?s KMV organization, particularly sales and client service, finance and professional services.

 

 

Position:  Contracts Manager

Location: San Francisco, California

 

 

Primary Responsibilities:

The Contracts Manager will play an integral role in the success of the Legal Department and Moody?s KMV generally. Specifically, the Contracts Manager will be responsible for:

? Administration and triage of incoming contract requests

? Drafting and negotiating of form agreements, including software license agreements, maintenance agreements, subscription agreements, nondisclosure agreements and professional services agreements.

? Offering appropriate alternatives to contract terms and conditions, and escalating issues to attorneys and sales management in accordance with company policies.

? Managing the process of contract execution and administration.

? Advising sales management of contractual rights and obligations and providing clarification of contract terms and conditions.

? Supporting the continuous evolution and improvement of standard form agreements, contract exceptions and legal processes.

 

Professional Qualifications:

Minimum 3 years software and services contract management/negotiation in a high tech organization.

? Familiarity with legal/licensing concepts such as Intellectual Property, Limitations of Liability, Indemnification, Warranties, etc.

? Demonstrated negotiation skills.

? Superior organizational skills.

? Proven analytical and written and verbal communication skills.

? Ability to be proactive, prioritize and work under tight deadlines in a service oriented and sales driven environment. Speed and accuracy are essential requirements for this position.

? Desire to succeed in a customer service oriented environment.

? Familiarity with software revenue recognition issues desired.

? Must be highly organized, efficient, and able to handle multiple tasks with ease and professionalism.
