This position will review, draft and negotiate mobile content related transactions, including content aggregation/delivery agreements, mobile storefront agreements, music licensing agreements, as well as acquisition, development, and licensing of related technology and services. Position will advise company leadership on legal risks associated with these transactions.




Key Responsibilities:

1. Draft contracts and negotiate deals.

2. Create agreements for newly developed services.

3. Counsel clients regarding service offerings and customer and vendor disputes.

4. Diplomatically interface with Business Unit and Sales staff.

5. Apprise company executives of legal and risk management issues.

6. Craft workarounds, present alternatives and propose solutions to achieve business objectives.

7. Represent company's interests and interface directly with customers' counsel and negotiating teams.

8. Interpret contracts with an understanding of the business context.

9. Stay current on legal developments affecting the company, its customers, and industries and incorporate the information into the company's transactional practices.

10. Support, promote and implement initiatives as part of Legal teamExperience - External:Experience:

1. Minimum of 3-8 years of transactional experience, preferably working in the area of mobile content licensing in roles with increasing responsibility.

2. Law firm experience or experience in a fast-paced corporate legal/transaction group for a technology provider, content licensor or related distributor required.

3. Proven ability to efficiently manage challenging transaction workload, including non-disclosure agreements, sales contracts, license agreements, vendor contracts, proposal reviews and the like.

4. Experience negotiating intellectual property issues, especially involving copyrights.

5. Familiarity with issues regarding digital delivery of music and videos a plus.
