Position Statement:
Corporate Counsel will be a key participant on the Company?s management team and the Company?s Secretary. While the position will provide legal advice to management with respect to all aspects of business law covering the full range of the company?s Internet media services business, this position will also make daily business decisions that will affect and influence the operations of the Company.
Essential Functions:
Corporate Counsel will be expected to be a key resource to sales, business development, technology, and other employees, be forward-looking in issue avoidance and to exercise sound business judgment. The specific duties of the Corporate Counsel will evolve as the business evolves and new issues arise.
Qualifications & Competencies (Knowledge, Skills & Abilities) Required:Corporate Secretary; attending Board of Directors? meetings.Drafting, negotiating and documenting advertising sales and other revenue related agreements, marketing agreements and product and technical partnership contracts.Drafting, implementing and monitoring and controlling the Company?s legal polices (standard form of contracts, T?s & C?s, etc.)Monitoring and administering the Company?s Intellectual Property rights and obligations.Drafting, negotiating and administering Website operating and license agreements, customer contracts, content agreements, hosted service agreements, consulting agreements, and service and support agreements. Managing the Company?s insurance risks, including working with insurance agent and reviewing and negotiating policies for property, general liability, multimedia, D&O, EPL, etc.Reviewing, drafting, negotiating and administering various types of partner contracts, including non-disclosure agreements and letters of intent. Reviewing, drafting, negotiating and administering statements of work, service level agreements, pricing schedules and customer obligations.Reviewing, investigating and responding to consumer and privacy questions and issues related to the company?s business and its hosted websites, including ?Canned Spam?.Independently handling a wide variety of legal, contractual and compliance issues.Monitoring company?s compliance in its contractual obligations. Reviewing internal policies and provide proactive legal advice to internal groups thorough presentations. Communicating and training internal clients on various contractual provisions, issues, and preferred approaches. Reviewing, drafting, negotiating and monitoring the Company?s real estate leases.Providing support to Human Resources on employment related issues.
Required: Must have a minimum of 5-7 years of progressively responsible and extensive legal experience with commercial, technology and licensing contracts.Previous experience in a high tech and/or Internet Media or television/broadcast company a plus. Ability to negotiate contracts with third parties who have a wide variety of experience and sophistication (i.e., lawyers and non-lawyers)Experience with trademark, copyright, patents and other IP.Experience with Canned Spam and other Internet and media related laws. Experience with real estate and employment law a plus.Possess practical, independent judgment and self-confidence. Be entrepreneurial and willing to find a practical solution to every business and legal question. A desire to learn the business and become an integral part of the management team as a businessperson, not just as a ?Corporate Counsel?.Be a team player, have the drive to move deals forward, get them closed and start on the next.Ability and desire to work in a fast paced, changing business environment. Possess excellent writing and communication skills, and be able to present ideas, opinions and recommendations clearly, accurately, and with confidence to employees, senior management, customers, clients, and business partners.
