Corporate Governance Paralegal

Illinois Tool Works Inc. (ITW), a $13 billion diversified manufacturing corporation and member of the Fortune 200, currently has an opening in our company headquarters in Glenview, IL for a Corporate Governance Paralegal.

 

Reporting to the Vice President, General Counsel and Corporate Secretary, this position provides day-to-day management of the Corporate Secretary, assisting with all matters relating to the Board of Directors, SEC compliance and filings, corporate governance and financing transactions of a Fortune 200 Company. 

 

Major responsibilities include:

?  Serve as logistical liaison to the Board of Directors and coordination of support for all Board functions including:

o  Preparation and distribution of agenda and Board related materials

o  Preparation and maintenance of all post-meeting related documents

o  Coordinating director compensation

o  Helping to insure the principles of the Committee charters are met

o  Assisting in the review and update of the Directors & Officers? Questionnaire

?  Assist in coordination of the Company?s Annual Meeting of Stockholders

?  Maintain corporate records, draft corporate minutes, resolutions, consents, certifications, bylaws, articles of incorporation; and research information from corporate records.

?  Assist in assuring Company compliance with securities laws, including

o  Administering the Company?s Insider Trading Policy

o  Oversee updating of information in the Corporate Governance section of the Company?s website

o  Preparation and filing of documents with the Securities and Exchange Commission, NYSE and other regulatory agencies.  Such filings include Section 16 filings for directors and executive officers, proxy statement and non-financial 8-K?s

?  Maintaining processes for Section 16 compliance

?  Supporting corporate transactions, including financings and M&A

?  Serving as liaison to shareholders, transfer agent, outside law firms, vendors and other departments within Corporation within area of responsibility

 

Qualifications for this position:

v  Bachelors Degree preferred or equivalent combination of education and experience.

v  A minimum of three years paralegal experience as a corporate or securities paralegal with a law firm or corporate legal department is preferred but all strong candidates will be considered.

v  Must have knowledge of securities laws and remain current on proposed/enacted legislation affecting public company practices.

v  Excellent oral communication - listens and gets clarification.  Responds to questions.

v  Excellent written communication ? writes clearly and informatively.  Edits work for spelling and grammar.  Varies writing style to meet needs. 

v  Excellent language skills ? ability to read, analyze, and interpret general business periodicals, journals, and government regulations.
