Corporate Paralegal
The San Francisco office of Heller Ehrman is searching for a Corporate Paralegal.
In this position, the selected candidate will be responsible for the following duties: drafting complex transaction documents including bridge and equity purchase agreements, board meeting minutes, documentation for various agency filings; prepares blue sky filings and interacts with state securities examiners. The selected candidate will prepares exchange applications; assists attorneys with IPO closings; conducts Section 16 research, Rule 701 and overhang research, blue sky research, due diligence research; possesses solid knowledge of federal securities laws; performs audit letter research and drafts audit letters; possesses a solid grasp of relevant securities law and tax issues in stock administration.
Requirements include a Bachelors degree and at least 5 years experience as a Corporate Paralegal in a law firm.
