Corporate/Securities paralegal

Publicly traded global manufacturing company headquartered in White Plains seeks a corporate transactional paralegal to handle corporate governance and securities matters for the company.

Specific responsibilities include:

* Drafting Board and shareholder resolutions;
*Drafting formation, dissolution and subsidiary merger documents;
*Maintaining corporate minute books and legal entity databases for both domestic and foreign subsidiaries;
*Interacting with outside counsel and preparing closing certificates in connection with acquisitions, dispositions and financings; preparing state
qualification to do business and foreign office applications and interacting with registered agents in connection with state and foreign filings;
*Assisting with SEC and NYSE filings, including preparation and filing of Section 16 reports and preparation of director and officer questionnaires; *Assistance with annual meetings of shareholders; and assistance with set-up of international branch and representative offices.

Requirements:
4+ years as a corporate paralegal handling the above responsibilities at a law firm or another in-house legal department.
