Counsel Law

POSITION PROFILE With the supervision of General Counsel and/or a Senior Counsel, provides general legal support (except litigation and HR matters) on transactional and corporate matters affecting one of the business units and/or corporate headquarters.
JOB DUTIES AND RESPONSIBILITIES
Prepares standards agreements and other legal documents for use by IKON, such as purchase order, acknowledgment, quotation, invoice terms and conditions, etc.
Provides legal advice to the management on various legal issues that arise during the operation of the company.
Establishes and conducts the company's policies and programs designed to minimize the company's legal exposure.
Reviews, drafts and negotiates individual agreements & other legal documents, including customer and vendor agreements, M&A agreements, etc.
Upon prior approval of General Counsel & when necessary, retains and supervises work of outside counsel for IKON and its operating companies.
Advises the management on any disputes (including any potential litigation matters) between IKON and any of its customers or vendors.
Provides guidance to the staff so that operational plans and objectives coming to the attention of the Law Department have been approved at appropriate levels and are consistent with IKON's corporate procedures and policies.
Advises the internal corporate clients to comply with laws applicable to the business practices engaged in by IKON.
Performs other duties as assigned.
QUALIFICATIONS (Education, Experience and Certifications)
Requires degree from a reputable, accredited law school & admission to the bar of at least one state.
Requires at least 3 years of corporate or transactional experience at a large law firm and/or the law department of a major corporation; knowledge of basic commercial and corporate law.
Should have at least 4 years of corporate, transactional, commercial and/or M&A experience, with a strong preference for candidates experienced in financing and leasing.
