Must have knowledge and experience in investment banking, corporate securities, private placements and public offerings for both private and public companies listed on US stock exchange; formation and ongoing maintenance of portfolio co investments by private equity and venture funds; US corporate & securities law; representation of investment banks. public co. reporting; general corporate representation of both emerging growth and public companies; representing private equity and venture funds and persons investing therein; licensing of intellectual property; and negotiation of commercial agreements.  Must have excellent oral and written communication skills plus sophistication and ability to function in high pressure and demanding environment.  Requires a minimum of 1 year as corporate lawyer involved in duties described.  Must be member of the NY State Bar.  $135,000 to $180,000 full time.EOE
