General & SEC Counsel For Small Public Company in Financial & Business Services. Company has several subsidiaries: a Merchant Bank, a Corporate Financial Consulting Company and several, diversified Staffing Company subsidiaries;

  Requirements:  5+ years General Corporate and Securities Law with a known Law Firm, with a solid background in ?micro- cap deals? for small public companies; Knowledge of experience in LBO Transactions and Merger/Acquisitions and their Structure/Negotiation/Financing is needed, including the ability to create all relevant documents for each phase.  Network of relevant contracts from recent, previous employment, a plus.  Preference will be give to candidates with relevant industry specific experience ? in Merchant Banking; Corporate Financial Consulting, Venture Capital, Hedge Funds and the Staffing Industry.

 

Knowledge of Registration Statement Requirements; SB 2 Registrations; Corporate Shell Transactions; (their creation and reverse merger); preparation of 10Q?s and 10K?s;



Sound understanding of Accounting principals, and Financial Statements as they relate to deal structure and SEC filing requirements.

 

Compensation: Open, depending on experience. Can be employee or independent contractor relationship. $50 per hour, 30 hour week.
