Senior Corporate Paralegal, Domestic - Mountain View

Google's legal team is growing! Google is looking for an experienced corporate paralegal to support Google?s expanding corporate operations and structure.

The Corporate Paralegal?s primary responsibilities will be to assist Google?s corporate legal team in managing all aspects of its corporate practice, including the coordination of and preparation for Board meetings, compliance with applicable securities laws, support for merger & acquisition transactions, maintenance of corporate records and compliance with corporate governance policies. He or she will work collaboratively with a highly-motivated team within fast-paced company.

Responsibilities:Support all aspects of merger and acquisition transactions and other strategic corporate development transactions, including due diligence, document preparation, closing mechanics, and post-closing integration and administration.
Assist in all aspects of ongoing securities laws compliance, including assisting in the preparation and filing of annual and quarterly SEC disclosure documents, oversee Section 16 filings and program maintenance, and coordinating the preparation and delivery of documentation required in connection with Rule 144 sales.
Coordinate legal department support for the Board of Directors and its subcommittees, including the preparation and distribution of board materials, drafting resolutions, consents and similar materials and assisting in the maintenance of the corporate records applicable to the Board and its subcommittees.
Assist with the management process and preparation of necessary documents in connection with the Annual Meeting of stockholders.
Assist with monitoring and maintenance of updates to corporate governance policies, such as the Company?s Code of Conduct and Insider Trading Policy.
Maintain the corporate minute books and related records for the Company?s domestic subsidiaries.
Work closely with Stock Administration in connection with stock reconciliation and other stock related matters.
Special projects as requested.
Requirements:B.A. or equivalent experience, excellent academic credentials.
Minimum five years (preferably eight or more years) of paralegal or similar experience, preferably with both a top-tier law firm and an in-house legal department, including significant experience in managing corporate matters.
Experience in Internet and/or high technology areas of business preferred.
Excellent analytical skills, with a strong ability to draft and review legal documents, analyze legal advice and apply legal advice to business needs.
Hard working, well-organized and detail-oriented. Must be able to manage numerous projects simultaneously under deadline pressure.
Flexibility and willingness to work on a broad variety of legal matters.
Ability and willingness to take initiative to address problems and make continuous process improvements.
Excellent interpersonal skills, dynamic and highly team-oriented.
Sense of humor and commitment to professionalism are required.
