Position Overview

 

As Legal Counsel II for the corporation, this position will be report to the General Counsel, will have primary Legal Department responsibility for securities and financing matters and will be significantly involved in other corporate and business matters.  The position requires a minimum of eight years of substantial, broad corporate law experience, a strong familiarity with Delaware corporate law and significant major law firm experience.

 

Candidates must have strong transactional experience. Must have strong experience in securities law issues (public disclosure reports, securities offerings, Sarbanes-Oxley), financing transactions (including original negotiation and on-going support of credit and debt agreements), corporate governance and compliance issues, and counseling management on legal and business matters.

 

Additional desirable experience includes mergers and acquisitions, secured transactions, and benefits and compensation matters (including stock option, restricted stock and bonus plans).

Successful candidate will be involved with the business team in structuring, negotiating and closing a broad variety of business contracts and overseeing legal matters involving the company?s wireless operations.
