Legal Specialist

Job Description: PRIMARY PURPOSE OF POSITION: This position exists to provide the Mutual Fund Communications and Production Group and the Legal Department with paralegal services in the area of securities regulation of Price Mutual funds. This position involves the maintenance of extensive detailed changes to the registration statements of the Price Funds plus a large number of filings.

PRINCIPAL RESPONSIBILITIES:

1. Work with various internal and external contacts under tight deadlines to draft and lay out prospectuses that go directly to print. Focus primarily on maintaining prospectus/SAI database language and quality to ensure consistency of product disseminated to shareholders. Responsible for converting prospectuses to PDF format for the Print Production Department and the T. Rowe Price internal/external web sites. Also responsible for assembling and updating prospectus template.

2. Maintain registration of Price Funds under the Investment Company Acts of 1940 and 1933. Request information from various people/departments; update information for each prospectus, Statement of Additional Information (?SAI?), and registration statement (?Part C?); prepare these documents for review by the Legal & Senior Legal Analysts; obtain each required exhibit; and file all assigned pre- and post-effective amendments.
Responsible for assembling and electronically filing initial fund profiles and updating them annually on the appropriate prospectus cycle. Works with Desktop Publishing group as they update profiles on a quarterly basis. 3.

3. Responsible for assembling and updating profile template.
Prepare Fund corporate documents and agreements including charters, charter amendments, by-laws and filings with the State Department of Assessments and Taxation or the SEC for review by Legal Analysts. Prepare and distribute Powers of Attorney annually for signature.

4. Prepare legal representation letters when required by the Price Funds' independent registered public accountants. Requests ticker symbols for Price Funds. Update and maintain biographical information on Price Funds' Directors. Prepare and send annual questionnaires to outside fund directors.

5. Conduct high-level review of prospectus to ensure all elements and variables appear correctly before giving to Legal Analysts for review.

6. Fund Shareholder Meetings. Prepare proxy materials for review by Legal Analysts and electronically file with the SEC using EdgarLINK, in connection with Annual Shareholder Meetings.

QUALIFICATIONS:

* College degree, or high school diploma and 2 years related work experience.

Excellent organizational and judgment skills

High degree of accuracy required; meticulous care for detail and accuracy (i.e., proofreading)

Ability to work independently with the ability to focus on details

Self-discipline and tolerance for repetitious work

Excellent interpersonal and influencing skills to work across various departments

Ability to work well under extreme pressure with tight deadlines

Proven computer/technical skills and the ability/initiative to learn new software/database

Flexibility to work overtime during peak seasons

Team player to assist with additional assigned tasks/projects to help co-workers during peak workload periods and as circumstances dictate
* College degree with 2 - 5 years experience in a legal or compliance related position preferred
