Job Description

Major Responsibilities:

This position provides substantive legal support of numerous activities and projects within the Corporate Secretary department related to legal compliance and good corporate governance practices.

1. Responsible for design and ongoing implementation of Section 16 process, including primary responsibility for all required filings 15%
2. Ethics Code certification 5%
3. Annual Meeting process and coordinate annual schedule 15%
4. Be knowledgeable on all systems and programs in department; work to automate processes to cut time requirements and inefficiencies 5%
5. Facilitate Legal / Ethics training 5%
6. Corporate Governance rating programs 5%
7. Serve as transfer agent liaison; shareholder relations 5%
8. Form 1099s for directors 2.5%
9. Dividend approvals and payment 2.5%
10. Draft Board materials 10%
11. Draft resolutions, certificates and formation documents for subsidiaries; subsidiary maintenance 20%
12. Research SEC, NYSE and corporate governance issues; coordinate with outside legal firms as requested 5%
13. SEC filings (8-Ks, 10-Qs, proxy statement) 5%

Minimum Requirements:

* 2 years experience as a paralegal for a law firm, large corporation, or government agency.
* A demonstrated interest in moving to a more substantive legal position or a paralegal certificate
* Excellent organizational skills and ability to prioritize tasks and workload; strong multi-tasking skills
* Ability to successfully complete delegated projects of some complexity with minimal supervision
* Strong oral and written communications skills
* Ability to effectively interact with all levels of management, employees, and customers/vendors of diverse populations
* Strong customer service orientation; teamwork attitude
* Sound judgment, strong problem solving and decision making skills
* Professional demeanor and ability to remain calm under pressure
* Ability to handle and maintain confidentiality
* High proficiency level in Microsoft Office Word, Excel, PowerPoint and Outlook and an interest and ability to learn new systems and programs quickly
* Ability to work with general office equipment such as a personal computer and keyboard, facsimile machines and photocopier
* Ability to develop and maintain awareness of occupational hazards and safety precautions; skilled in following safety practices and recognizing hazards

Preferred Qualifications:
* Administrative or paralegal experience in a corporate legal department
* Eight (8) years experience as high functioning administrative assistant with some exposure to paralegal type work strongly desired.
* Paralegal certification

Criteria/Conditions(specific background and skills):
* Position is in busy, non-smoking office located in downtown Phoenix, AZ
* Location requires mobility in an office environment; each floor is accessible by elevator
* Must be able to frequently sit, stand; occasionally walk, bend, squat, climb, reach, and kneel. Must be able to frequently lift/ carry up to 10 pounds and occasionally lift and carry up to 25 pounds
* Must be able to operate and pull, or push dollies, basket carts to retrieve, review and/or transport documents, files, boxes, and other items
