Paralegal

Responsibilities: Preparing and coordinating procedural documentation for general legal matters including, but not limited to, securities laws compliance, regulatory matters and risk management. Assisting with the drafting, editing and coordination of legal documentation related to business transactions; business entity formation and maintenance; preparation of legal opinions; related due diligence; and drafting-related back-up memoranda. Performing electronic research and filing with and obtaining documents from public and governmental agencies including the SEC and Secretary of State. May assist in maintaining a tracking system for in-process agreements. Perform administrative duties required to complete tasks and responsibilities within the scope of the job.This is a transactional position, not a litigation position.

 

Requirements: Bachelor?s degree and 8 years experience. Paralegal certification and general corporate paralegal experience.Expertise in identifying and resolving potential issues.Prefer a background in preparing contracts in an in-house legal department with minimal supervision. Pharmaceutical experience is a plus.Strong verbal/written communication skills. Strong organizational skills.Ability to anticipate and respond to department and client needs, work independently and make decisions, maintain the workflow, prioritize and complete multiple tasks simultaneously.Excellent computer skills, including Microsoft software.
