Paralegal/Contract Administrator

 Start ASAP, 3 months Plus

Position Summary: Researches laws, investigates issues, and assists in the preparation of legal documents to support attorneys. Acts as a Contract Administrator and Intellectual Property Paralegal. Serves as the point of contact on contractual and Intellectual Property matters. May draft minutes of corporate meetings for review and evaluation. Maintains file system for legal documents.

? Assists attorney(s) in preparation of legal documents

? Serves as the point of contact for all contractual and trademark matters.

? Reviews and negotiate contracts, agreements, and modifications thereto.

? Gathers data, assembles, proofs, and edits drafts of contracts, leases, licenses, confidentiality agreements and vendor agreements. Review policies and procedures to facilitate adherence to contract terms.

? Drafts contracts, confidentiality agreements, and vendor agreements for use by managers with customers.

? Establishes effective internal and customer interfaces / communications and support the goals attainment of corporate initiatives.

? Maintains the portfolio of trademarks.

? Maintains patent & trademark library

? Maintains infringement/domain name logs

? Maintains legal entity listing

? Research USTPO for existing patents /or infringements; both foreign and domestic

? Complete patent & trademark applications and renewals

? Arrange for filings with U.S. Patent & Trademark office

? Maintain patent & trademark summary spreadsheet

? Correspond with Marketing Department regarding specimens of new products /or changes to existing ones

? Provides other administrative support to the Legal Department. Provides cross functional support to Purchasing and Marketing Departments.

? Maintains file system for legal documents (contracts, agreements, etc.).

? Manages the full cycle of a portfolio of Dendrite?s trademarks.



Specific skills:

Good knowledge of laws and regulations applicable to corporations in general and software companies in specific. Good time management, communications, decision making, presentation, human relations, and organizational skills. Proficiency in Microsoft Excel, Word, and other computer systems. Ability to work independently, assess priorities, and manage a variety of activities, paying attention to detail under tight deadlines and heavy workload



Education Required:

AA/AS or equivalent experience



Experience Required:

4 - 5 years experience



Complexity of Job Function: Works on assignments that are moderately difficult, requiring judgment in resolving issues or in making recommendations.



Decision Making: Normally receives little instruction on daily work, general instructions on newly introduced assignments.



Interact with Internal and external Attorneys daily on Contractual issues & documentation.

Interact with Managers / employees daily on Vendor agreements, contractual rights, risks, obligations & issues. Preparation, negotiation, administration & contact requirements & specifications.

Interact with Purchasing daily on Vendor Agreements.

Interact Daily with Marketing on Trademark library and USTPO.
