The Compliance Specialist - Proxy will review, analyze, and vote proxy materials in accordance with board and client approved guidelines.? The Specialist will have familiarity with proxy-voting procedures and regulations, corporate governance, executive compensation, and shareholder rights.? A general knowledge of corporate law and SEC regulations is desired. The position also requires a general knowledge of investment industry operations and trends. Some familiarity with global investment operations and regulations is helpful.

The Specialist may also be responsible for daily department operations, including: disclosure intake, registration and aggregation of materials, electronic data transactions and vote execution.? The Specialist will also oversee the daily performance of internal business partners.? The Specialist will provide client reporting to business units on a quarterly, annual or ad hoc basis.? The Specialist will provide IPR vote statistics on an annual or ad hoc basis.? The Specialist will oversee the maintenance of record retention and retrieval.? In executing these daily responsibilities, the Specialist will be analytical in monitoring activity to gather and interpret data leading to process improvements.

Primary Responsibilities:Ensures that all proxy material is received, organized, and record kept under department and regulatory requirements.Works with FPCMS and other business partners on daily operational issues, including set up of new accounts and ballot reconciliation.Reviews all upcoming meetings to ensure that proxies are voted in compliance with deadlines.Provides client, management, or ad hoc reporting on a regular or as needed basis.Establishes effective working relationships with other Fidelity business groups to facilitate the receipt of information necessary for accurate completion of responsibilities.Participates in and contributes to department-wide initiatives in support of individual, team and department goals.

Working Relationships/Contacts:Investment Professionals - periodic interaction with equity analysts and portfolio managers to seek input on vote decisions and escalate significant issues affecting a portfolio company.FPCMS - daily interaction with custody staff performing reconciliation of all proxy ballots and fund/account holdings.Distribution Channels - support the intake of clients and their on-going relationship.? Drive the resolution of voting issues with channel representatives.Legal - work with FMR Co. Legal on various issues, including legal and regulatory developments and interpretation of Board-approved guidelines.External parties - work with portfolio companies to explain Fidelity proxy voting guidelines or process.FIL - Periodic interaction re: current trends in proxy voting.

JD preferred3-5 years experience, including 2 years in financial services environment preferably in investment compliance, accounting, fund reporting or legalStrong organizational skills with a proven ability to multi-task and manage high volumesDemonstrated analytical skills, problem-solving abilities and attention to detailAbility to establish and maintain strong relationships with demanding clients, senior personnel, and internal business partnersUnderstanding of the operational issues for proxy voting Good oral and written communication and presentation skillsA team player with good interpersonal skills and the ability to work collaboratively across functionsStrong PC skills including Microsoft Office applications
