SENIOR COUNSEL

 

WHX Corporation, a profitable, public company headquartered in Rye, New York seeks an outstanding Senior Counsel for the parent company and all of its subsidiaries. WHX's primary business is Handy & Harman, a family of materials engineering and specialty manufacturing companies. Our subsidiaries products include electronic and engineered materials, specialty fasteners, specialty tubing and fabricated precious metals servicing construction, appliance, electronic, transportation, medical, and utility industry markets. 

This position will report to the Vice President, General Counsel & Secretary of WHX Corporation, and will involve direct interaction with personnel at all levels of the organization.  The Senior Counsel will work on a broad range of challenging and sophisticated legal matters, and will have a high degree of responsibility. 

 

The company seeks to hire an energetic, experienced, multi-tasking professional who is passionate about the practice of business law and can manage broad legal generalist functions including:

 Assist/direct environmental/health/safety, insurance, banking, patent and trademark, financial, debtor/creditor, employee benefits, labor, pension and real estate matters;Review/draft standard purchase, sale, licensing, security, distribution, representative and consignment agreements; employment, independent contractor, termination and release agreements;Assist with SEC reporting, corporate governance, Sarbanes Oxley, compliance and Board of Directors matters for the company and its subsidiaries;Contribute to a broad range of M&A/divestiture/strategic alliance matters, including due diligence and drafting/review of transactional documents;Negotiate claims and settlements and assist in managing outside counsel with respect to litigations and arbitrations;Draft corporate policies and train/assist location personnel in their implementation; and Overall, assist the General Counsel in a fast-paced in-house corporate legal environment.

 

The successful candidate will have the following qualifications:

 Admission to New York Bar;Juris doctor degree and distinguished law school record;At least 6 years of practice at a sophisticated commercial law firm plus at least 2 years in-house experience at a publicly-traded company in a responsible generalist position;The ability to confidently interact with colleagues and adversaries and to translate difficult legal principles into practical business solutions;Excellent analytical, problem-solving, negotiation, drafting and communication skills;Energetic, decisive, hard-working, hands-on personality with strong interpersonal skills and the ability to gain respect and influence others;Quick learner with a high degree of common sense and resourcefulness, and the ability to work independently and prioritize multiple tasks;Highest levels of integrity, discretion and maturity;Excellent references.
