General Summary

 

We are seeking a highly experienced lawyer to handle complex corporate and

securities law matters. This counsel will routinely interact with senior

management, outside regulators, and outside counsel on securities,

transactional and corporate governance issues. General corporate matters

including public and private securities transactions, mergers and acquisitions,

executive compensation, governance and reporting will be handled by this

attorney.





Principal Duties and Responsibilities



*Prepares documents, negotiates and develops complex contracts and forms

related to corporate activities. Prepare and oversee various SEC filings

including 10-Ks, 10-Qs, registration statements, prospectuses and proxy

statements.

*Provides securities law expertise in connection with public and private

offerings of debt and equity securities.

*Assist in the development, maintenance and implementation of the company's

Corporate governance policies.

*Analyzes and formulates company's position on securities

legislation/regulations.

*Supports the Corporate Secretary and the Board of Directors, preparing Board

materials, minutes and other necessary documentation.

*Keeps legal management team apprised of and solicits their input as

appropriate on significant legal issues.

*Advises on various equity and compensation plan and stock administration

matters.

*Incorporates and applies ERISA, federal and state tax laws and regulations,

insurance laws and regulations, and employee benefit laws affecting insurance,

as well as new and emerging areas of the law like e-commerce and privacy, to

business plans and objectives.

*Ensures development and maintenance of support staff (paralegals).

*Assist on a variety of other corporate matters as a member of the Corporate

Law Group.



 

Job Specifications

*J.D. (law degree) plus admission to practice law in at least one jurisdiction



*At least 8 years of relevant experience

*Excellent verbal and written communication skills.

*High level attention to detail.

*Experience with complex transactional work

*Securities experience including work on public and private offerings of

debt and equity securities.

*Knowledge of the federal regulatory environment, including compliance

requirements and processes

*Executive compensation experience

*Knowledge of investment adviser and investment company laws and regulations

preferred

*Demonstrated leadership qualities including ability to build effective

working relationships with key constituents across the Enterprise

*Ability to manage multiple, changing agendas in a fast-paced environment.
