Supervise group of paralegals and corporate clerks assigned to complex and often high profile merger and acquisition transactions at a major NYC law firm consisting of over 600 attorneys worldwide.

Responsibilities:Staffing, general oversight and annual employee assessment of paralegal team. Recruiting, hiring and training of top paralegal candidates. Participant in active M&A transactions: considerable knowledge of all aspects of merger, acquisition, private equity and similar corporate transactions but public and private. Organization and execution of training and CLE sessions for associates and paralegalson issues relevant to practice group. Maintenance of practice group website and standard forms. Drafting and review of all types of transaction documentation. Formation of corporate entities in all jurisdictions and drafting of resolutions, minutes, consents, amendments and merger documentation. Performance of due diligence and document review and preparation of due diligence reports.  Set up and maintenance of physical and electronic data rooms. Preparation of '34 Act compliance filings and management of EDGAR process. Research on corporate targets, changes in M&A law and relevant practice group topics. Preparation of closing documents and client file maintenance.

Skills:Extensive experience in drafting and filing of all types of compliance and tender offer documentation including Registrations Statements  (S-4), Statements of Ownership/Insider Trading (Schedules 13D, 13G, Schedule TO, 14d-9 and Forms 3,4 and 5), Proxy and Information Statements (14A, 13e-3) and 8 and 6K's with the Securities and Exchange Commission. Organization and presentation of training seminars for associates and paralegals on relevant practice group topics; versed in public speaking and training. Expertise in corporate housekeeping, corporate organization and state corporate statutes. Supervised team in setting goals and accomplishing objectives.  Constant consultation with 80 plus M&A partners and associates to determine group focus in order to generate the best possible team. Creative and confident manager; organized and energetic.
