Senior Contracts Analyst

We have an immediate opportunity for an experienced Senior Contracts Analyst to prepare, review and negotiate proposed contracts, formal agreements and other legal instruments. Reporting directly to the Contracts Attorney in our corporate headquarters, the successful candidate will also support the legal function by performing a variety of legal and administrative work relating to Primavera entities and products.

Responsibilities include but are not limited to:

?Prepare, amend, negotiate and interpret customer license, support, services and nondisclosure agreements in the commercial and government arenas. Work closely with sales on RFP?s, strategic alliance, and authorized representative agreements.

?Legal administration and oversight of source code escrow agreements, eBay Vero Program, certificates of insurance and corporate contract templates.

?Prepare and negotiate OEM inbound technology agreements and other partnering agreements (3rd party agreements).

?Review and negotiate corporate purchase agreements including marketing, telecommunications, web hosting and various IT agreements.

?Assist marketing department in such areas as web content, customer testimonials, etc.

?Act as liaison with outside counsel as appropriate.



BA/BS (Business preferred); Paralegal Certificate or JD helpful but not required. Must have at least four years experience in the areas of corporate governance, business, contracts (high-tech industry preferred) and at least 2 years of outbound software licensing. Proven negotiation skills and strong writing skills are a must. Must be able to quickly grasp, interpret, evaluate and summarize complex transactional and contractual terms and conditions in order to formulate business response and assess business risk. Knowledge of federal contracts including detailed understanding of FAR?s and GSA contracts is helpful.

Highly developed interpersonal communication, problem-solving skills and exercise of sound judgment are essential. Ability to work independently and as part of a team. Strong PC skills, excellent organizational skills and ability to manage multiple priorities and a significant number of contracts are a must in this fast-paced environment. Occasional travel.
