Senior Corporate Counsel (Securities and Mergers and Acquisitions)

Red Hat, the world's premier open source technology and Linux provider, seeks a talented senior lawyer to lead its securities practice and act as a senior adviser on high level matters. As as a critical member of the Red Hat's disclosure committee, you will play a significant role in corporate compliance and corporate governance matters, including, at minimum, SEC compliance. Responsibilities include facilitating communication between the Corporation and its Board of Directors and with the Corporation's external counsel. You will be successful if you thrive in a dynamic culture that requires adaptability, accountability, a sense of urgency, and a strong work ethic. You must enjoy working independently and efficiently manage day-to-day activities but also be able to drive cross functional teams on important projects.

Job Requirements:

10-15 years of experience with a law firm with a robust securities law practice
Significant M&A and transactional experience
Comfort with financial statements
Broad exposure to corporation compliance matters
Strong leadership and communication skills, both verbal and written.
Some in-house experience a plus, but not required.
Must be a graduate of an accredited law school and admitted into the bar.
