Job Description: Basic Function: Advise and counsel client areas regarding corporate law, securities law and bank regulation.
Responsibilities:
This position is responsible for providing legal support with respect to merger and acquisition matters, preparing and/or reviewing regular and special filings with the SEC and NYSE such as annual and quarterly reports, proxy statements, as well as other filings such as registration statements for M&T Securities.  In addition, this position will also provide legal support on various general corporate matters, including Banking Department applications, assisting the Corporate Secretary with Board of Directors and stockholder meetings, as well as handling corporate goverance and Sarbanes-Oxley matters.

The incumbent will also be responsible for keeping informed of and analyzing laws, judicial interpretations, pending legislation, and regulatory initiatives that affect the assigned areas of business and providing opinions and advice with respect to legal and regulatory obligations of represented areas.
Minimum Qualifications:
J.D. degree, New York State Bar admission and five to seven years experience practicing law in the corporate and/or securities area.  Candidates must be able to define legal issues and dimension legal risks.  Superior writing, analytical and verbal communication skills are required.
