Client is a Fortune 500 company traded publicly on the NYSE and a leader in their segment of the retailing industry.? Client owns 142 franchises, 32 brands and 32 service centers across the US and has increased their annual revenues six-fold in the last 9 years.

POSITION DESCRIPTION????

The Sr. Legal Assistant/Paralegal will work closely with 2 attorneys and 1 manager of legal services preparing documents for judicial decisions and analyzing and organizing information needed to prepare reports or court filings.?

RESPONSIBILITIES???

???????? Corporate Secretary: Form legal entities for acquisitions, assist with preparation of Board books for Board of Directors meetings, maintain Minute Book filing, maintain corporate org chart

??????? ?Litigation: Distribute lawsuit/demand letter to appropriate individuals, populate? and maintain ProLaw database, generate Schedule Bs, maintain Labor/EEOC files, Organize and track files of all important case documents and make them available and easily accessible to the attorneys

????????General:? Maintain SEC filing codes for Section 16 officers and directors,? quarterly compliance matters, Assist with contracts, shareholder agreements and stock-option plans, help prepare and file annual financial reports, maintain corporate minutes? record resolutions, and prepare financial forms

REQUIREMENTSCollege degree; Paralegal certification is preferable6-7 years? experience in either corporate legal dept. or law firmAbility to multitaskExcellent written and spoken communication skillsExcellent organizational skills
