:: Description:
This is either a Corporate Counsel or a Senior Corporate Counsel position, depending on the candidate's experience and background. Principal duties are to support salesforce.com's North America and international Sales, Alliances and Professional Services organizations in structuring commercial transactions, and drafting and negotiating commercial agreements.

:: Responsibilities:
- Negotiate and draft master subscription agreements, professional services agreements and other types of agreements with customers in support of North America and international sales and professional services organizations.
Structure, negotiate and draft inbound and outbound alliance and business development agreements with various types of alliance partners in support of Alliances organization.
- Work with revenue recognition, sales operations and technology operations teams to ensure agreements are consistent with internal corporate policies and processes.
- Senior Corporate Counsel position also would include creating and managing agreement templates and processes.

:: Required Skills/Experience:
- Undergraduate degree
- Law degree from highly regarded school
Corporate Counsel candidate will have:
- 2-4 years combined experience in well-regarded law firm and/or large in-house legal department
- 2+ years negotiating and drafting technology license/Internet service agreements and channel (such as VAR, OEM, distributor) agreements
Senior Corporate Counsel candidate will have:
- 5-8 years combined experience in well-regarded law firm and/or in-house legal department (including at least 3 years in large in-house legal department)
- 5+ years negotiating and drafting technology license/Internet service agreements, channel (such as VAR, OEM, distributor) agreements and professional services agreements
- Excellent written and oral communication skills
- Excellent negotiation skills
- Responsive and service-oriented attitude
- Ability to organize, prioritize and manage deadlines in a fast-based and demanding work environment
- Ability to maintain strong working relationships with demanding internal clients
- Familiarity with, or willingness to learn, technical concepts in the Web applications field
- Sound and practical business judgment

:: Desired Skills/Experience:
- Substantive expertise in intellectual property law
- Ability to negotiate and draft agreements in a second language
- Software design or engineering background
