Contract and Governance Manager

The Contract Review & Governance Manager located in Oakland, CA is responsible for leading the management, review and governance of supplier contracts. This includes responsibility for the contract approval, communication & implementation processes. This position ensures that all contracts are properly reviewed approved and signed prior to execution. This position provides key support for buy-to-pay SOX compliance relating to appropriate legal review of contracts for accurate footnote disclosure of commitments and liabilities. The role governs the contract review process and promotes standardization in the contracting process and use of standard clauses and templates. The role collaborates closely with the KP legal department and identifies non-standard contracts for attorney follow-up.

MAJOR RESPONSIBILITIES:
* Leads efforts to manage the contract approval process and to communicate and implement the process consistently across KP
* Responsible for ensuring timely storage of contracts (contract repository) and monitoring contract milestones through effective Supplier/Contract Management
* Ensures that contracts are reviewed/approved/signed by appropriate personnel (e.g. Legal, Finance, NMLT, NPC, business owner, and contract signers) prior to execution. Tracks the contract review/approval process
* Coordinates with KP Legal on contract approval and contract implementation processes
* Supports the buy-to-pay SOX remediation and compliance initiatives (relating to accurate footnote disclosure of commitments and liabilities
* Manages supplier contracts to ensure proper alignment and strategic/organizational efficiencies
* Oversees the communications of National contracts to the ROCs (Regions outside of California) and CA
* Responsible for inputting of National (Non-Broadlane contracts) into the contracts database or future state contracts management system
* Identifies non-standard contracts for further attorney review and action to minimize risk
* Negotiates simple contracts (e.g. NDAs, BAAs, contract extensions, and amendments)
* Manages the expiration of contracts and contract files (on-line and hard copy)
*Works with Sourcing, Legal and the Vendor Authorization Group to review and negotiate legal terms and conditions and ensure compliance with KP internal legal process and procurement and supply policies
* Communicates company and legal department policies and approval processes for contract changes to in-house clients
* Primary governance of the Procurement & Supply contract management process and planned contract management systems automation
* Supports and leads the continuous improvement of standard form agreements and legal and approval processes as well as training on such topics
* Performs legal research

MINIMUM REQUIREMENTS:
* BA or BS degree (specialty in law or business a plus)
* Minimum of 7+ years of contract negotiation, drafting and contract management experience required
* Procurement & Supply Chain contract and/or vendor management experience
* Senior paralegal experience
* Experience with on-line contract management tools, or has the desire to learn and manage this process
* Experience working with multiple stakeholders across business functions in a fast-paced environment
